1. About these terms
These terms are an agreement between you and Ilanaa Software Limited, No. 12 Wilson Emelike Street, Hill Top Estate, Aboru, Lagos, Nigeria (“ilanaa”, “we”, “us”). They cover our website, the ilanaa app on Android and iOS, and its Business Assistant (together, “the Service”).
By creating an account or using the Service, you agree to these terms and our Privacy Policy. If you don’t agree, please don’t use the Service.
2. Who can use ilanaa
- You must be 18 or older and able to enter a contract.
- ilanaa is for people and businesses selling goods or services. If you sign up for a business, you confirm you’re allowed to accept these terms for it.
- Keep your account details accurate and your password safe. You’re responsible for everything done on your account. Tell us at once if you think someone else has used it.
3. What ilanaa does
The Business Assistant replies to buyers on the channels you connect, shares product details and photos, negotiates within your prices and follows up on orders. It also helps you manage your stock, prices and sales insights.
We may improve, change or remove features. If we remove something important you pay for, we’ll tell you in advance where we reasonably can.
4. Your sales and the Business Assistant
- You set the rules. You choose your prices, including your lowest price, and the assistant’s tone and skills. The assistant will not accept a price below your lowest price.
- You are the seller. Every sale is between you and your buyer. You’re responsible for your products, prices, stock, delivery, refunds and after-sales care, and for following the law for what you sell.
- Keep your settings up to date. The assistant only knows what you tell it. You can take over any chat at any time.
- AI can make mistakes. The assistant may sometimes misunderstand a buyer or give an imperfect reply. Check important orders, especially large or unusual ones.
- Tell your buyers. You must let buyers know an automated assistant may reply to them, and have a lawful reason to message them.
5. Connected channels
When you connect WhatsApp, Instagram, Facebook, Telegram or another channel, you must also follow that platform’s rules. We’re not responsible if a platform limits or suspends your account or changes its features. You can disconnect a channel at any time in the app.
6. What you must not do
You must not use ilanaa to:
- sell anything illegal, fake, stolen or restricted, or that needs a licence you don’t have
- mislead, cheat or harass buyers, or send spam
- break any law, including consumer, data protection and advertising laws
- upload content you don’t have the right to use, or that is hateful, violent or sexually explicit
- hack, copy, overload or get around the security of the Service
We may remove content or suspend accounts that break these rules.
7. Payments and refunds
- Plans and prices are shown in the app before you pay, in naira or US dollars depending on your country.
- You pay by topping up your in-app wallet through Paystack.
- Wallet balances are not cash, can’t be transferred, and aren’t refundable unless the law requires it.
- If we change a price, we’ll tell you before it applies, and you can cancel before then.
- Payments already made are not refundable unless the law requires it.
8. Your content
You own your content, including products, photos, prices, chats and business information. You allow us to store and use it only to run and improve the Service for you. Our Privacy Policy explains how we handle personal data.
9. Our property
The ilanaa name, logo, app, website and software belong to us. While your account is active, you may use the Service for your business. These terms give you no other rights in it.
10. Closing or suspending accounts
- You can delete your account at any time in the app, on our Delete your account page, or by contacting us.
- We may suspend or close your account if you break these terms, if the law requires it, or if your use puts others or the Service at risk. Where reasonable, we’ll warn you first and give you a chance to fix the problem.
- After your account closes, we handle your data as our Privacy Policy explains.
11. Limits of our responsibility
- We work hard to keep ilanaa running and accurate, but we provide it “as is”. We don’t promise it will always work without errors or bring you a certain number of sales.
- We’re not responsible for disputes between you and your buyers, for what you sell, or for problems caused by connected platforms, payment providers or internet outages.
- As far as the law allows, we’re not liable for indirect losses such as lost profits, data or business. Our total liability for any claim is limited to what you paid us in the 3 months before the claim.
- Nothing here removes any right you have under Nigerian law, including the Federal Competition and Consumer Protection Act.
12. Your responsibility to us
If someone makes a claim against us because of what you sell, your content, or your breaking these terms or the law, you agree to cover our reasonable losses and costs.
13. Changes to these terms
We may update these terms. We’ll post the new version here and tell you in the app about important changes. If you keep using ilanaa after a change, you accept the new terms.
14. Law and disputes
These terms are governed by Nigerian law. If there’s a problem, contact us first. If we can’t resolve it within 30 days, either of us may go to mediation, and then to the courts of Lagos State, Nigeria.
